PWI Foundation is a not-for-profit corporation, tax-exempt as a public charity under Section 501(c)(3) of the Internal Revenue Code. Visitors to projectworldimpact.com have the option of donating directly to individual organizations on the site, or can donate to a cause or country on the site. When visitors donate to a cause or country, the money goes directly to the PWI Foundation. PWI Foundation’s independent board identifies specific projects that advance these causes and distributes the funds to the qualified organizations that are best positioned to accomplish the charitable objectives. The grant recipients are selected at the discretion of the Foundation and reported on the site. PWI does not take any percentage of these donations. Donations are still subject to the standard credit card processing rate of the organization. Registration on projectworldimpact.com gives PWI Foundation and PWI the right to solicit funds in your organization's name on behalf of your organization through projectworldimpact.com.

By visiting this Site, you represent and warrant that you have read, understand, have the legal capacity to, and hereby agree to be legally bound by these Terms.
We provide General Users, Registered Users, Registered Nonprofit Users, and Registered Fair Trade or Cause Related Goods Users with access to the Services as described in this Agreement.
a. General Users: General Users, as the term implies, are people in the general public who don’t register with us, but want to visit the site. No login is required for General Users. General Users can: (a) view all publicly available content, including, without limitation, the Project World Impact site; and (b) email us.
b. Registered Users: Registration and login is required for all users who want to (a) make profiles on the site; (b) donate to nonprofit organizations; (c) purchase products; (d) sign up to volunteer with nonprofits; (e) contribute to crowdfunding campaigns; (f) leave reviews of nonprofits, fair trade, or cause related goods users on the site; (g) or use our PWI Products.
c. Registered Nonprofit Users: Login is required for all Registered Nonprofit Users who can (a) make profiles for their Nonprofit Organization; (b) receive donations; (c) create crowdfunding projects; (d) post volunteer opportunities; and (d) use the PWI Products that correlate with your subscription level. All Registered Nonprofit Users must be US-based, tax-exempt organizations recognized by the IRS under Section 501()(3) of the Internal Revenue Code.
As stated in other parts of these terms and conditions, PWI reserves the right to refuse to accept Nonprofit Organizations that are not consistent with our mission. In general, we will not include Nonprofit Users on the site who are:

Registered Fair Trade or Cause Related Goods Users: Login is required for all Registered Fair Trade or Cause Related Goods Users, who can (a) make profiles for their fair trade or cause related goods organization and (b) sell products. All Registered Fair Trade or Cause Related Goods Users must be duly organized, validly existing, and in good standing under the laws of the United States of America.
Project World Impact is under no obligation to accept any individual as a General User, Registered User, Registered Nonprofit User, Registered Fair Trade User, or Registered Cause Related Goods User, and may accept or reject any registration in our sole and complete discretion. In addition, Project World Impact may deactivate any account at any time, including, without limitation, if it determines that a Registered User, Registered Nonprofit User, Registered Fair Trade User, or Registered Cause Related Goods User has violated this Agreement or does not meet the standards we have set for organizations to be featured on the site. This site and its components and content are offered for informational purposes only; this site shall not be responsible or liable for the accuracy, usefulness or availability of any information transmitted or made available via the site, and shall not be responsible or liable for any error or omissions in that information.
We reserve the right, at our sole discretion, to change, modify or otherwise alter these terms and conditions at any time. PRICING FOR FAIRTRADE AND CAUSE-RELATED PRODUCTS
Except where noted otherwise, the List price displayed for products on the Site represents the full retail price listed on the product itself, suggested by the manufacturer or supplier, or estimated in accordance with standard industry practice; or the estimated retail value for a comparably featured item offered elsewhere. The List Price is a comparative price estimate and may or may not represent the prevailing price in every area on any particular day. MODIFYING AND TERMINATING OUR SERVICES
We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether.You can stop using our Services at any time, although we’ll be sorry to see you go. PWI may also stop providing Services to you, or add or create new limits to our Services at any time. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to get information out of that Service.
We may in our discretion change these Terms without notice to you. If any change to these terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. YOUR CONTINUED REGISTRATION AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR REGISTRATION.
ADDITIONAL RELATED TO FAIR TRADE AND CAUSE RELATED GOODS VENDORS AND REGISTERED USERS
FOR REGISTERED FAIR TRADE AND CAUSE RELATED GOODS USERS AND REGISTERED USERS
a. Use of the Site and Services: Use of the Site and Services for Registered Fair Trade and Cause Related Goods Users is limited to parties that lawfully can enter into and form contracts under applicable law. For example, minors are not allowed to use the Services. To register, you must provide your real name, address, phone number, and email address. You represent and warrant that: (a) if you are a business or organization, you are duly organized, validly existing and in good standing under the laws of the United States of America and that you are registering for the Services within the United States of America; (b) you have all requisite right, power and authority to enter into this Participation Agreement and perform your obligations hereunder; (c) any information provided or made available by you or your affiliates to PWI or our affiliates is at all times accurate and complete; and (d) sign up at one of our annual subscription levels, which are billed monthly and nonrefundable.
b. Applicable Policies and Guidelines: For each item you list on the Site, you will provide to us the state or country from which the item ships. You will provide to us (using the processes and timing that we designate) any requested information regarding shipment, tracking (to the extent available) and order status, and we may make any of this information publicly available. Promptly after shipment of a customer's order (or any portion of the customer's order), you will accurately inform us that the order has been shipped (and, in the case of a customer order that is shipped in more than one shipment, accurately inform us which portion of the order has been shipped), using our standard functionality for communicating such information when we make that functionality available to you ("Confirmation of Shipment"). If you fail to provide Confirmation of Shipment within the time frame specified by us (e.g., 30 days after the date an order was placed), we may in our sole discretion cancel (and/or direct you to stop and/or cancel) any such transaction, and you will stop and/or cancel any such transaction upon such request by us. You will comply with any instructions from the manufacturer, distributor and/or licensor of a product regarding Street Date for Delivery (which means the date, if any, specified by the manufacturer, distributor and/or licensor of a product as the date before which such product should not be delivered or otherwise made available to customers) or the Street Date for Disclosure (which means the date, if any, specified by the manufacturer, distributor and/or licensor of a product as the date before which specified information regarding such product (e.g., title of a book) should not be disclosed publicly).

PROJECT WORLD IMPACT’S ROLE
PWI provides a platform for third-party sellers ("Sellers") and buyers ("Buyers") to complete transactions. Project World Impact is not involved in the actual transaction between Sellers and Buyers. Without limitation, you may not list any item or link or post any related material that (a) infringes any third-party intellectual property rights (including copyright, trademark, patent, and trade secrets) or other proprietary rights (including rights of publicity or privacy); (b) constitutes libel or slander or is otherwise defamatory; (c) is counterfeited, illegal, stolen, or fraudulent; or (d) is included on our Restricted Items list. It is up to the Seller to accurately describe the item for sale. As a Seller, you use the Site and the Services at your own risk.
BECAUSE PWI IS NOT INVOLVED IN TRANSACTIONS BETWEEN BUYERS AND SELLERS OR OTHER PARTICIPANT DEALINGS, IF A DISPUTE ARISES BETWEEN ONE OR MORE PARTICIPANTS, EACH OF YOU RELEASE PWI (AND OUR RESPECTIVE AGENTS AND EMPLOYEES) FROM CLAIMS, DEMANDS, AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES.
FAIR TRADE AND CAUSE RELATED PRODUCTS SOLD
Project World Impact charges a 15% transaction fee from the final selling price for all products sold on the site by Registered Nonprofit, Fair Trade, and Cause-Related Goods Users. The credit card processing fee for all transactions is covered by Project World Impact and is included in the 15% transaction fee. Registered Fair Trade, Nonprofit and Cause Related Goods Sellers are responsible for the shipping and handling of all items sold on projectworldimpact.com.
Project World Impact will hold the funds from purchases made on the Site until the product is delivered and verified, up to 30 days. 30 days after verification of the product is received, PWI will release the funds to the Seller as long as there is no ongoing conflict or dissatisfaction with the product from the Consumer. Consumers have up to 30 days to report a problem with their product.
RISK OF LOSS
All items purchased from Project World Impact are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to the purchaser upon delivery to the carrier.
RETURNS, REFUNDS AND TITLE
Project World Impact does not take title to returned items. Items must be returned to the original Seller within 30 days of purchase. Refunds and returns should be handled exclusively between the Buyer and Seller. However, if the Buyer and Seller are unable to reach an agreement, then PWI may be contacted within 30 days of purchase and we will make the final decision based on the information provided. The final decision of PWI cannot be overruled.
You, the Seller, will accept and process returns, refunds and adjustments in accordance with this Participation Agreement and the PWI return policies published on the Site at the time of the applicable order, and we may inform customers that these policies apply to your products. You will determine and calculate the amount of all refunds and adjustments (including any taxes, shipping and handling or other charges) or other amounts to be paid by you to Buyers in connection with Your Transactions, using functionality we enable for your account, and will route all such payments through PWI. You will promptly provide refunds and adjustments that you are obligated to provide under the applicable PWI return policies and as required by law, and in no case later than thirty (30) days after the obligation arises.
Project World Impact attempts to be as accurate as possible. However, PWI does not warrant that product descriptions or other content of any PWI Service is accurate, complete, reliable, current, or error-free. If a product offered by Project World Impact is not as described, your sole remedy is to return it in unused condition to the individual Seller within 30 days of purchase.
THE TRANSACTION PROCESSING SERVICE
By registering for or using the Services, you authorize PWI to act as your agent for purposes of processing payments, refunds, and adjustments for Your Transactions (as defined below), receiving and holding Sales Proceeds (as defined below) on your behalf, remitting Sales Proceeds to your bank account, charging your credit card, and paying PWI and our affiliates amounts you owe in accordance with this Participation Agreement or other agreements you may have with PWI or our affiliates (collectively, the "Transaction Processing Service"). "Sales Proceeds" means the gross proceeds from any of Your Transactions, including all shipping and handling, other charges, but excluding any taxes separately stated and charged. "Your Transaction" means any sale of your items through the Site. Notwithstanding anything to the contrary in this Participation Agreement, PWI may in its discretion perform the Transaction Processing Services described in this Section.
a. The Transaction Processing Service facilitates the purchase of Seller items listed on the Site. Sales Proceeds are credited to a registered Seller's Payment Account and funds are periodically transferred to the Seller's designated bank account ("Seller's Account"). When a Buyer instructs us to pay you, you agree that the Buyer authorizes and orders us to commit the Buyer's payment to you (less any applicable fees or other amounts we may collect under this Participation Agreement). You agree that Buyers satisfy their obligations to you for Your Transactions when we receive the Sales Proceeds. Our obligation to remit funds received by us on your behalf is limited to funds that we have actually received less amounts owed to PWI, subject to chargeback or reversal or withheld for anticipated claims in accordance with this Participation Agreement. The Transaction Processing Service helps facilitate Your Transactions and neither we nor our affiliates are the purchaser of the Seller's goods. Seller will resolve any dispute directly with Buyer or with the assistance of the PWI. You must provide us true and accurate information when registering and must maintain and update that information as applicable. We may at any time require you to provide any financial, business or personal information we request to verify your identity. Seller will not impersonate any person or use a name he or she is not legally authorized to use. Seller authorizes us to verify his or her information (including any updated information), to obtain credit reports about Seller in order to approve Seller for use of the Transaction Processing Service and also from time to time while Seller is registered with the Transaction Processing Service (including credit reports about Seller's spouse if Seller lives in a community property state), and to obtain an initial credit authorization from Seller's credit card issuer at time of registration.
b. Sales Proceeds can be credited only to bank accounts in the United States (which functionality may be modified or discontinued by us at any time without notice).
c. The Transaction Processing Service is generally available seven (7) days per week, twenty-four (24) hours per day, except for scheduled downtime due to system maintenance. We can initiate credits to Seller's Account only on a Business Day when the automated clearinghouses are open for business. For purposes of this Participation Agreement, a "Business Day" is a Monday through Friday, excluding federal banking holidays. We will inform you of each completed transaction using our standard procedures. In addition, you can access your Transaction Processing Service transaction information online in your Payment Account.
d. If we or our affiliates reasonably conclude based on information available to us or our affiliates that Seller's actions and/or performance in connection with the Services may result in Buyer disputes, chargebacks or other claims, then we may, in our sole discretion, delay initiating any remittances and withhold any payments to be made or that are otherwise due to you in connection with the Services or this Participation Agreement until the completion of any investigation(s) regarding any Seller actions and/or performance in connection with this Participation Agreement. We will not be liable to Seller if we act in accordance with the provisions of this Section.
e. All notices will be sent by email or will be posted on the Site or by any other means then specified by us or PWI. We will send notices to Seller at the email address maintained in our or PWI's records for Seller. Seller will monitor his or her email messages frequently to ensure awareness of any notices sent by us or PWI.
f. We may refuse service to anyone for any reason. We will not bear the risk of credit card fraud (i.e., fraudulent purchase arising from the theft and unauthorized use of a third party's credit card information) occurring in connection with Your Transactions, and Seller will bear all other risk of fraud or loss; provided, that we will not bear the risk of credit card fraud in connection with any of Seller's products that are not fulfilled strictly in accordance with the order information and shipping information that PWI provides you. PWI reserves the right to seek reimbursement from Seller if PWI, in our sole discretion, decide to reimburse Buyer, provide a refund to Buyer if Seller cannot promptly deliver the goods, discover erroneous or duplicate transactions, or receive a chargeback from Buyer's credit card issuer for the amount of Buyer's purchase from Seller. We may obtain reimbursement of any amounts owed by Seller to PWI or us by deducting from future payments owed to Seller, reversing any credits to Seller's Account, charging Seller's credit card, or seeking such reimbursement from Seller by any other lawful means. You authorize us to use any or all of the foregoing methods to seek reimbursement, including the debiting of your credit card or bank account.
g. Sales Proceeds will be held in an account with PWI (a "Payment Account") and will represent an unsecured claim against PWI. Sales Proceeds are not insured by the Federal Deposit Insurance Corporation. Prior to disbursing funds to you, PWI may combine Sales Proceeds held with the funds of other users of the Services, invest them , or use them for other purposes permitted by applicable laws. You will not receive interest or any other earnings on any Sales Proceeds. To the extent required by applicable laws, PWI will not use any funds held on your behalf for our corporate purposes, will not voluntarily make such funds available to our creditors in the event of bankruptcy or for any other purpose, and will not knowingly permit our creditors to attach such funds.
h. PWI retains the right to delay or suspend listing of, or to refuse to list, or to de-list, or to require Seller not to list, any or all products in our sole discretion. We may in our sole discretion withhold for investigation, refuse to process, restrict shipping destinations for, stop and/or cancel any of Your Transactions. You will stop and/or cancel orders of your products if we ask you to do so (provided that if you have transferred your products to the applicable carrier or shipper, you will use commercially reasonable efforts to stop and/or cancel delivery by such carrier or shipper). You will refund any customer (in accordance with this Participation Agreement) that has been charged for an order that we stop or cancel.
a. For sales where a Seller lists goods at a fixed price ("fixed price sales"), the Seller is obligated to sell the goods at the listed price to Buyers who meet the Seller's terms. By listing an item in a fixed price sale, you represent and warrant to prospective Buyers that you have the right and ability to sell, and that the listing is accurate, current, and complete and is not misleading or otherwise deceptive.
b. For fixed price sales, Seller will determine the purchase price for each item he or she lists on the Site via and subject to projectworldimpact.com's standard functionality for listing the purchase price, provided that Seller must abide by the same procedures and guidelines contained here.
YOUR OBLIGATION AS A SELLER
By entering into this Participation Agreement and posting a listing for fixed price sale, you, the Seller, agree to complete the transaction as described by this Participation Agreement. This includes being responsible for immediate shipping and handling of any items purchased through your store on projectworldimpact.com. You acknowledge that by not fulfilling these obligations, your action or inaction may be legally actionable.
PWI will automatically add seller tax to items based on their shipping address, to the best of our ability. PWI is not responsible for determining the exact amount of sales tax per item. "Seller Taxes" means any and all sales, goods and services, use, excise, import, export, value added, consumption and other taxes and duties assessed, incurred or required to be collected or paid for any reason in connection with any advertisement, offer or sale of products by you on or through the Site, or otherwise in connection with any action, inaction or omission of you or any of affiliate of yours, or any of your or their respective employees, agents, contractors or representatives.

Registered Nonprofit Users voluntarily choose to subscribe to the projectworldimpact.com site.
a.Registered Nonprofit Users agree to commit at one of the available annual subscription levels, which are billed monthly or annually, depending on the plan purchased. Although there are monthly billing options, the subscription is based on a 12 month commitment and is not refundable under any circumstances.
b. The PWI products and services available to Registered Nonprofits Users depends on the subscription level chosen by the Nonprofit. The subscription levels and related products and services are described on the “Pricing” page of projectworldimpact.com (https://projectworldimpact.com/pricing). PWI reserves the right from time to time to offer special promotions relative to annual subscription charges and/or products and services available.
c. The prices, subscription levels, products, services, and features available to nonprofits on the site may be changed, added to, and/or subtracted from at any time. If changes are made, Registered Nonprofit Users agree to the new or revised prices, subscription levels, products, services, and features at the end of their current annual subscription.
d. PWI has a variety of products and services available to Registered Nonprofit Users and Registered Users, including, but not limited to the following:
CROWDFUNDING, GROUPGIVE, AND OTHER FUNDING PLATFORMS
Project World Impact provides funding platforms (such as crowdfunding and peer-to-peer fundraising) for Registered Nonprofit Users (or “Campaign Owners”) seeking to raise funds for their own Campaigns and for Registered Users (or “Contributors”) to contribute to the Campaigns of Registered Nonprofit Users. Campaign Owners can offer gifts or rewards in the form of tangible items or intangible services (collectively, "Perks") to Contributors. Perks are not offered for sale. Project World Impact makes no representations about the quality, safety, morality or legality of any Campaign, Perk or Contribution or the truth or accuracy of User Content (as defined below) posted on the Services. Project World Impact does not represent that Campaign Owners will deliver Perks or that Contributions will be used as described in the Campaign. Users use the Services at their own risk.
Campaign Owners are not permitted to offer or provide any of the following as a Perk:
Contributors are solely responsible for asking questions and investigating Campaign Owners and Campaigns to the extent they feel is necessary before making a Contribution. All Contributions are made voluntarily and at the sole discretion and risk of the Contributor. Project World Impact does not guarantee that Contributions will be used as promised, that Campaign Owners will deliver Perks, or that the Campaign will achieve its goals. Project World Impact does not endorse, guarantee, make representations, or provide warranties for or about the quality, safety, morality or legality of any Campaign, Perk or Contribution, or the truth or accuracy of User Content posted on the Services. Contributors are solely responsible for determining how to treat their Contributions and receipt of any Perks for tax purposes. If a Contribution is returned to a Contributor, the associated Perks, if any, shall be canceled.
By use of PWI funding platforms, Campaign Owners may post photos, videos, text, graphics, logos artwork and other audio or visual materials (collectively, "User Content"). Campaign Owners grant Project World Impact and the nonprofit beneficiary a perpetual, non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, publicly display, publicly perform, store, reproduce, modify, create derivative works, and distribute User Content of any Campaign Owner or Contributor on or in connection with the Crowdfunding Services and our related marketing and promotional activities. Campaign Owners also agree to allow their “User Content” to be used by any other nonprofit on the PWI site, while they are a part of the PWI site. Campaign Owners continue to hold all ownership interest in their User Content. Each Campaign Owner represents and warrants that its User Content and our use of such User Content will not infringe any third party's intellectual property rights, proprietary rights, privacy rights, confidentiality, rights of publicity or otherwise violate these Terms or applicable law.
Project World Impact provides a platform for Registered Nonprofit Users to receive donations from Registered Users on the site. Although there may be normal credit card fees, Project World Impact does not take a percentage of these donations, unless stated otherwise. Additionally, all Registered Nonprofit Users have the sole responsibility for distributing written acknowledgment to Registered Users who have donated funds to them through the PWI site.
If a nonprofit does not activate its payment gateway on projectworldimpact.com, any donations that nonprofit receives through the site or any PWI product will be sent to the PWI Foundation. PWI takes zero percentage of these donations, unless stated otherwise. Donations are subject to the standard credit card processing rate.
While using the PWI Crowdfunding Services, Campaign Owners may post photos, videos, text, graphics, logos artwork and other audio or visual materials (collectively, "User Content"). Campaign Owners grant Project World Impact and the nonprofit beneficiary a perpetual, non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, publicly display, publicly perform, store, reproduce, modify, create derivative works, and distribute User Content of any Campaign Owner or Contributor on or in connection with the Crowdfunding Services and our related marketing and promotional activities. Campaign Owners continue to hold all ownership interest in their User Content. Each Campaign Owner represents and warrants that its User Content and our use of such User Content will not infringe any third party's intellectual property rights, proprietary rights, privacy rights, confidentiality, rights of publicity or otherwise violate these Terms or applicable law.
ADDITIONAL GENERAL TERMS AND CONDITIONS
PWI RESERVATION OF RIGHTS
PWI retains the right to determine the content, appearance, design, functionality and all other aspects of the Site and the Services (including the right to re-design, modify, remove and alter the content, appearance, design, functionality, and other aspects of the Site and the Service and any element, aspect, portion or feature thereof, from time to time).
Employees of PWI and our affiliates are permitted to participate in their personal capacity (i.e., not as PWI employees, representatives, or agents of PWI or our affiliates) in the transactions conducted through this Site (unless they have confidential information about a particular item). Employees of PWI and our affiliates, when participating in any transaction in their personal capacity, are subject to this Participation Agreement and the same procedures and guidelines contained as any Buyer or Seller on this Site.
Your password may be used only to access the Site, use the Services, electronically sign Your Transactions, and review your completed transactions. You are solely responsible for maintaining the security of your password. You may not disclose your password to any third party (other than third parties authorized by you to use your account) and are solely responsible for any use of or action taken under your password on this Site. If your password is compromised, you must change your password.
INDEMNITY/LIMITATION OF LIABILITY
a. YOU WILL DEFEND, INDEMNIFY AND HOLD HARMLESS PWI AND EACH OF OUR AFFILIATES (AND OUR RESPECTIVE EMPLOYEES, DIRECTORS, AGENTS AND REPRESENTATIVES) FROM AND AGAINST ANY AND ALL CLAIMS, COSTS, LOSSES, DAMAGES, JUDGMENTS, PENALTIES, INTEREST AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF ANY CLAIM THAT ARISES OUT OF OR RELATES TO: (i) ANY ACTUAL OR ALLEGED BREACH OF YOUR REPRESENTATIONS, WARRANTIES, OR OBLIGATIONS SET FORTH IN THIS PARTICIPATION AGREEMENT; OR (ii) YOUR OWN WEBSITE OR OTHER SALES CHANNELS, THE PRODUCTS YOU SELL, ANY CONTENT YOU PROVIDE, THE ADVERTISEMENT, OFFER, SALE OR RETURN OF ANY PRODUCTS YOU SELL, ANY ACTUAL OR ALLEGED INFRINGEMENT OF ANY INTELLECTUAL PROPERTY OR PROPRIETARY RIGHTS BY ANY PRODUCTS YOU SELL OR CONTENT YOU PROVIDE, OR SELLER TAXES OR THE COLLECTION, PAYMENT OR FAILURE TO COLLECT OR PAY SELLER TAXES. FOR THE PURPOSES HEREOF:”CLAIM” MEANS ANY CLAIM, ACTION, AUDIT, INVESTIGATION, INQUIRY OR OTHER PROCEEDING INSTITUTED BY A PERSON OR ENTITY.
b. PWI WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE PARTICIPATION AGREEMENT, THE SITE, THE SERVICES, THE TRANSACTION PROCESSING SERVICE, THE INABILITY TO USE THE SERVICES OR THE TRANSACTION PROCESSING SERVICE, OR THOSE RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICES.
PWI, in our sole discretion, may terminate this Participation Agreement, access to the Site or the Services, your profile on the site, or any current fixed price sales immediately without notice for any reason. PWI, in our sole discretion, also may prohibit any Seller from listing items for fixed price sales. If at any point your profile is cancelled, you will be immediately responsible for, and will be billed for, the remainder of the annual cost of your subscription. PWI is not obligated to provide a refund under any circumstances.
If any provision of this Participation Agreement shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions.
DISCLAIMER OF WARRANTIES
THE SITE AND ANY SERVICE INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE PROVIDED TO YOU ON AN "AS IS" OR "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OR CONDITIONS OF ANY KIND, UNLESS OTHERWISE EXPRESSLY SET FORTH IN WRITING. WE DO NOT WARRANT THAT THE SITE OR ANY SERVICE INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE AVAILABILITY, RELIABILITY OR SECURITY OF THE SITE OR THE SERVICE. UNLESS OTHERWISE EXPRESSLY SET FORTH IN WRITING, WE DISCLAIM ANY AND ALL OTHER WARRANTIES AND REPRESENTATIONS (EXPRESS OR IMPLIED, ORAL OR WRITTEN) WITH RESPECT TO THE SITE AND ANY SERVICE INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE WHETHER ALLEGED TO ARISE BY OPERATION OF LAW, BY REASON OF CUSTOM OR USAGE IN THE TRADE, BY COURSE OF DEALING OR OTHERWISE, INCLUDING: (A) ANY AND ALL WARRANTIES OF MERCHANTABILITY; (B) ANY AND ALL WARRANTIES OF FITNESS OR SUITABILITY FOR ANY PURPOSE (WHETHER OR NOT WE KNEW, HAVE REASON TO KNOW, HAVE BEEN ADVISED, OR ARE OTHERWISE AWARE OF ANY SUCH PURPOSE); (C) ANY AND ALL WARRANTIES OF NONINFRINGEMENT OR CONDITION OF TITLE; (D) ALL WARRANTIES WITH RESPECT TO UPTIME AND DATA ACCURACY; (E) ALL WARRANTIES WITH RESPECT TO ANY AND ALL CONTENT AND RELATED DELIVERIES PROVIDED IN CONNECTION WITH THIS AGREEMENT; AND (F) THAT THE SITE AND ANY SERVICE INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE WILL OPERATE WITHOUT INTERRUPTION OR ERROR. YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE RELIED ON NO WARRANTIES. THIS DISCLAIMER AND EXCLUSION WILL APPLY EVEN IF THE EXPRESS WARRANTIES SET FORTH ABOVE FAIL OF THEIR ESSENTIAL PURPOSE.
Notwithstanding any terms to the contrary in these Terms, Project World Impact may choose to electronically deliver all communications with you, which may include: (a) email to your email address indicated in your communications with Project World Impact or upon registration with the Site; or (b) posting messages that are displayed to you when you log in to or access the Site. Project World Impact' electronic communications to you may transmit or convey information about action taken on your request, portions of your request that may be incomplete or require additional explanation, any notices with respect to modifications to these Terms, any notices required under applicable law and any other notices. You agree to do business electronically with Project World Impact, and to receive electronically all current and future notices, disclosures, communications and information, and that the aforementioned provided electronically satisfies any legal requirement that such communications be in writing. An electronic notice will be deemed to have been received the day of receipt as evidenced by such email.
NOTICES AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT
If you believe that anything on the Site infringes upon any copyright which you own or control, you may file a notification of such infringement by sending an email to email@example.com with “Copyright Infringement”as the subject line.
To be effective, the notification must be a written communication that includes the following:
We may give notice of a claim of copyright infringement to our users by means of a general notice on the Site, electronic mail to a user's email address in our records, or by written communication sent by first-class mail to a user's address in our records.
In accordance with the Digital Millennium Copyright Act ("DMCA") and other applicable law, Project World Impact has adopted a policy of terminating, in appropriate circumstances and at the sole discretion of Project World Impact, account holders who are deemed to be repeat infringers. Project World Impact may also at our sole discretion limit access to the Site and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.
These Terms and your use of the Site will be governed by and construed in accordance with the laws of the State of Illinois applicable to agreements made and to be entirely performed within the State of Illinois, without resort to its conflict of law provisions. You agree that any action at law or in equity arising out of or relating to these Terms will be filed only in the state and federal courts located Dupage County, Illinois. You hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of these Terms. None of your rights or duties under these Terms may be transferred, assigned or delegated by you without our prior written consent, and any attempted transfer, assignment or delegation without such consent will be void and without effect. We may freely transfer, assign or delegate our rights and duties under these Terms. Subject to the foregoing, these Terms will be binding upon and will inure to the benefit of the parties and their respective representatives, heirs, administrators, successors and permitted assigns. If any provision of these Terms is invalid, illegal, or incapable of being enforced by any rule of law or public policy, all other provisions of these Terms will nonetheless remain in full force and effect so long as the economic or legal substance of the transactions contemplated by these Terms is not affected in any manner adverse to any party. Upon such determination that any provision is invalid, illegal, or incapable of being enforced, the parties will negotiate in good faith to modify the Terms so as to effect the original intent of the parties as closely as possible in an acceptable manner to the end that the transactions contemplated hereby are fulfilled.
If you believe there is a violation of these Terms and you would like to report it to us, please direct the information to firstname.lastname@example.org. Any reports of violations you submit to us, including your identity, may not be kept confidential. In response to your report, we may take actions in accordance with these Terms or other applicable agreements between us and the alleged violator of the Terms, and may pursue other remedies available under all applicable local, state, federal or international laws, regulations, rules, orders and other requirements, now or hereafter in effect. However, we are under no obligation to respond to any reports we receive. Please note that a personal reply to reports you submit to us may not always be possible.
COMMUNICATION WITH US
Although we encourage you to contact us, we do not want you to, and you should not, send us any content that contains confidential information. With respect to all communications you send to us, including, but not limited to, feedback, questions, comments, suggestions, and the like, we shall be free to use any ideas, concepts, know-how, or techniques contained in your communications for any purpose whatsoever, including but not limited to, the development, production, and marketing of products and services that incorporate such information without any payment or obligation to you.
PROFILE CANCELLATION, UPGRADE, OR DOWNGRADE
You may change (delete, upgrade, or downgrade) your Project World Impact profile and subscription level any time by visiting Your Account Dashboard. If you delete your account, you will be responsible for, and will be billed for, the remainder of your annual fee. PWI is not obligated to provide refunds under any circumstances. If, at any time, you ‘downgrade’ your subscription to a lower level, you will still be responsible for the remainder of the annual fee at the original level—there will be no credit to your account. If, at any time, you ‘upgrade’ your subscription you will be prorated for the remainder of the year at the higher subscription level..
PWI Fund Participation Agreement #1

This PWI Fund Participation Agreement ("Participation Agreement") contains the terms and conditions that govern your participation in the PWI Fund program described in this Participation Agreement (the "Program"). "We," "us," or "our" refers to Project World Impact (PWI), and "you" or "your" refers to the charitable organization participating or seeking to participate in the Program.
By creating a charity administration account on the projectworldimpact.com website (“PWI Site” or "Organization Site") or otherwise participating in or seeking to participate in the Program, you agree to these conditions. Please read them carefully.
1. Description of the Program
The purpose of the Program is to permit Registered Organizations (as defined in Section 2) to receive Distributions from the PWI when customers make Qualifying Purchases on the online sites that participate in PWI Fund (see Section 2).
PWI Fund customers can select any Eligible Organization, but only Registered Organizations can receive disbursements from the Program. To register, you must accept this Participation Agreement without modification, complete registration through the Organization’s Portal on projectworldimpact.com and properly provide all requested information, including submitting a complete and accurate Program application that correctly identifies your charitable organization and providing valid bank account information as described in Section 6. We reserve the right to reject or suspend your registration if the requested information (including representative and bank account information) is inaccurate or incomplete or if you are otherwise not in compliance with this Participation Agreement. If your registration is accepted, your charitable organization will be a "Registered Organization" for as long as all of your registration information, including: the bank account information described in Section 6, is current and complete; this Participation Agreement remains in force; and you continue to be an Eligible Organization. You will ensure that all information you provide to us, including your Program application information, bank account information, email address, and other contact information, is at all times complete, accurate, and up-to-date, and agree that failure to keep such information up to date may result in you no longer being a Registered Organization or in you no longer receiving any Distributions under the Program.
"Eligible Organizations" are those charitable organizations that we determine:
You consent to us sending you notifications (if any), approvals (if any), and other communications relating to the Program and this Participation Agreement to the email address then-currently associated with your Program account. You will be deemed to have received all notifications, approvals, and other communications sent to that email address, even if the email address associated with your account is no longer current.
3. Program Policies
By participating in the Program, you agree that you will comply with the Program Policies and all pages, schedules, policies, guidelines, and other documents and materials referenced in this Participation
Agreement, including policies and guidelines posted on the Organization Site and including the
Program Content Guidelines and the PWI Fund Program Description page (collectively, "Operational Documentation").
You can only promote or link to the PWI Fund Site on your own website, user-generated content published through a social media account or page, offline mailings, or email correspondence (your "Site") and can only use such of our trademarks or logos, links to the PWI Fund Site ("Links"), or other content we may make available to you (collectively, "Content"), in all cases in accordance with Program Policies and the Program Content Guidelines.
4. Responsibility for Your Actions
You will be solely responsible for your organization and actions taken by you or on your behalf, including: compliance with all applicable laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions, and other requirements of any governmental authority that has jurisdiction over you or your Site; the bank account and other information we receive in connection with the Program; ensuring that any donation amounts we make to you are used in accordance with applicable law and your stated mission; creating and posting, and ensuring the accuracy, completeness, and appropriateness of, materials posted on your Site (including any information you include within or you associate with links); using the Content and any materials posted on your Site in a manner that does not infringe, violate, or misappropriate any of our rights or those of any other person or entity (including copyrights, trademarks, privacy, publicity, or other intellectual property or proprietary rights); any misrepresentation of your relationship with a charitable organization, registration of a charitable organization that you are not authorized to act on behalf of, or any other failure to provide true and accurate information in your registration, including if such failure results in you not receiving the amount of Distributions you would have otherwise received from the Program; ensuring you are duly authorized to enter into and perform your obligations under this Participation Agreement (including granting the rights set forth in the Program Content Guidelines) and that you do not violate any term or condition of this Participation Agreement; and your or your employees', contractors', agents', or volunteers' acts, errors, omissions, negligence, or misconduct.
We will have no liability for these matters, and you agree to defend, indemnify, and hold us, projectworldimpact.com, Inc. ("Project World Impact") and its affiliates and licensors, and our and their respective employees, officers, directors, and representatives, harmless from and against all claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) relating to these matters. With respect to any emails, social media posts, mailings and other communications you send (or cause to be sent) in connection with the Program, you acknowledge that you are the originator and sender for all purposes (including under the CAN-SPAM Act of 2003 and all similar laws).
5. Qualifying Purchases
We will make Distributions to you resulting from Qualifying Purchases in accordance with Section 6 and as set forth in the PWI Fund Program Description page. Subject to the exclusions set forth below, a "Qualifying Purchase" occurs when a customer places an order for a Product from an online site that participates with PWI Fund; and the Product is shipped to or streamed or downloaded by, and paid for by, the customer; and the online site sends money to PWI.
A "Product" is any item sold to someone from an online site that participates in PWI Fund, who has downloaded the PWI Fund extension onto their Browser.
Qualifying Purchases exclude, and you will not be eligible for disbursements in connection with any of, the following:
Distributions from us to Registered Organizations are based on Qualifying Purchases shipped, streamed, or downloaded (as applicable) in a given calendar quarter, and not subsequently returned. Distributions are calculated in accordance with the Operational Documentation, as it may be modified from time to time. Distributions for each calendar quarter will be made approximately 45 days following the end of that quarter. To account for Product returns that are made after the end of a calendar quarter, we reserve the right in our sole discretion to withhold a portion of your quarterly Distributions for disbursement during the next donation cycle, subject to any reduction due to returns or cancellations from prior quarters. If we determine we have made an overpayment in Distributions to you as a result of returns not offset by Distributions held back to account for returns, or if we determine that you received Distributions to which you were not entitled as a result of your actions or omissions (for example, if you provided incomplete or false registration information or otherwise violated this Participation Agreement), we reserve the right, in our sole discretion, to (a) deduct the amount of the overpayment from any donation amount that is due to you in subsequent donation cycles, and/or (b) notify you and request reimbursement for any amounts incorrectly paid to you, in which case you hereby agree to reimburse us for such over-payments promptly and in any event within 30 days of such request. You acknowledge and agree that we are under no obligation to provide you with a report of Qualifying Purchases or Distributions attributed or earned.
If we determine that you are no longer an Eligible Organization or that you or anyone acting on your behalf has violated any term or condition set forth in this Participation Agreement (including failure to qualify as a Registered Organization), we reserve the right to disburse any donation that would have been made to you instead to one or more other Registered Organizations as set forth in the Operational Documentation.
When making Distributions to Registered Organizations, we will either directly deposit Distributions to you into a U.S. bank account you designate or send a check via U.S. mail. We reserve the right to accrue and withhold Distributions for any Registered Organization until the total dollars made for that organization is at least $5.00, at which point the accrued and withheld total Distributions will be paid in full during the next quarterly donation cycle. If a total of $25.00 has not accrued by the following quarter, the distributions roll over into the next quarter. After 1 year of not achieving the $25.00 benchmark, the money will be reallocated and disbursed to organization(s) qualified as Registered Organizations.
PWI charges a service fee to nonprofits of up to 5% of their customer’s PWI Fund purchases. This service fee will help PWI continue to expand the number of online sites, distribute money, and pay miscellaneous fees incurred by PWI.
If you would like the Distribution to Registered Organizations to be directly deposited to you, you must promptly provide us with accurate and complete bank account information, including the bank account type, the 9-digit routing number/ABA number, the account number, and the name of the primary account holder as it appears on the account, in addition to a voided check or bank statement (as set forth in the Program application). If you do not provide this information, the information is not valid (for example, the account has been closed or changed), or a donation is otherwise rejected by your bank, then we reserve the right to suspend or revoke your registration for the program, so that you will cease to be a Registered Organization, you will not receive Distributions, and Distributions that you would have received will be treated as Distributions directed to an Eligible Organization that is not a Registered Organization, as described in the following paragraph. You will only be eligible to receive Distributions again after you provide valid account information and you qualify as a Registered Organization.
If an Eligible Organization that is not a Registered Organization accrues Distributions in a given calendar quarter, we will accrue and withhold such Distributions until the donation cycle following the end of the calendar quarter in which it becomes a Registered Organization. However, if such an Eligible Organization does not promptly become a Registered Organization, then we reserve the right after each calendar quarter in which an Eligible Organization accrues withheld amounts (after expiration of a reasonable period as we determine in our discretion, not to exceed 3 years after such quarter), to reallocate and disburse such accrued and withheld funds to organizations qualified as Registered Organizations.
We may be obligated by law to obtain tax information from you. If we request tax information from you and you do not provide it to us, we may (in addition to any other rights or remedies available to us) withhold your Distributions until you provide this information or otherwise satisfy us that you are not a person from whom we are required to obtain tax information.
If, for any reason, no money accrues after a user purchase or no money is sent to PWI, the purchase made by the user will be invalid to have any percentage or amount of the purchase given to the nonprofit that the user has designated. Also, based on individual state laws, PWI may withhold any money that was made by a customer after purchasing from an online store..
Special Distribution Considerations for PWI Beta Phase Participants (between 2013-2015). If a nonprofit has a profile that was made during the PWI Beta phase (between 2013-2015), they are eligible for the PWI Fund plan, but with special Distribution terms. PWI Beta Phase nonprofits, who are not subscribed at a $250/month or higher plan, will have the first $3,000 raised allocated to paying their subscription. Once they achieve an accumulated $3,000 via PWI Fund, they will automatically receive access to all of the $250/month plan (and applicable software and apps) for one (1) year from the date of the $3,000 being reached. The nonprofit will receive these funds only after having properly input their credit card on the PWI site. Recurring billing will begin the following year - one (1) year after the initial $3,000 was reached.
7. Public Communications; Identifying Yourself as a Program Participant
You acknowledge and agree that we may or may cause others to publicly disclose (including through a government filing, press release, interview, or any other public statement) the amount of Distributions provided to you (individually and/or collectively with other charitable organizations) in connection with the Program, provided that such communications shall not tie donation amounts to any individual customer. Except as expressly permitted in the Operational Documentation, you will not issue any press release or make any other public communication with respect to this Participation Agreement, your use of the Content, or your participation in the Program.
An active list of online sites that send money to PWI based on customer purchases can be found via https://projectworldimpact.com/fund. In order to get access to use PWI Fund as a customer, you can go to https://projectworldimpact.com/fund and create an account, download the browser extensions, or app, and start using it.
Users will select a nonprofit on the https://projectworldimpact.com/fund link. Once a nonprofit is selected, funds will be distributed to the nonprofit based on the terms in Section 6 above. If a user downloads and uses Fund, without having an active, paying, nonprofit on the site, their funds will be reallocated and disbursed to organizations qualified as Registered Organizations.
8. Term and Termination
The term of this Participation Agreement will begin upon acceptance of this Participation Agreement and will end when terminated by either you or us. Either you or we may terminate this Participation Agreement at any time, with or without cause, by giving the other party written notice of termination, which for your termination notice will require a written request to be removed from the program, delivered by the “contact us” form on the Organization’s Portal, and for our termination notice will require transmitting email to the email address then-currently associated with your Program account. We also reserve the right, in our sole discretion, to cancel or otherwise terminate the Program at any time. Upon any termination of this Participation Agreement and/or the Program, all rights and obligations of the parties will be extinguished, except that the rights and obligations of the parties under Sections 2, 4, 7, 8, 10, 11, 12, 13, and 14 and under the Program Content Guidelines will survive the termination of this Participation Agreement. No rights or obligations with respect to accrued but unpaid donation obligations will survive any termination of this Participation Agreement, and instead amounts otherwise allocable to you will be allocated and paid to other Registered Organizations in accordance with Section 6. No termination of this Participation Agreement will otherwise relieve either party for any liability for any breach of, or liability accruing under, this Participation Agreement prior to termination.
We reserve the right to modify any of the terms and conditions contained in this Participation Agreement (and any Operational Documentation) at any time and in our sole discretion by posting a change notice, revised agreement, or revised Operational Documentation on the PWI Site or by sending notice of such modification to you by email to the email address then-currently associated with your Program account (any such change will be effective on the date specified in such notice but will in no event be less than two business days after the date of the notice). YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING THE EFFECTIVE DATE OF SUCH NOTICE WILL CONSTITUTE YOUR ACCEPTANCE OF THE MODIFICATIONS (FOR EXAMPLE, THE DATE OF OUR POSTING OF A CHANGE NOTICE, REVISED PARTICIPATION AGREEMENT, OR REVISED OPERATIONAL DOCUMENTATION ON THE PWI SITE OR THE EFFECTIVE DATE SPECIFIED IN ANY EMAIL TO YOU REGARDING SUCH MODIFICATION) WILL CONSTITUTE YOUR BINDING ACCEPTANCE OF THE CHANGE. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS PARTICIPATION AGREEMENT IN ACCORDANCE WITH SECTION 8..
10. Relationship of Parties
You and we are independent contractors, and nothing in this Participation Agreement or the Operational Documentation will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and us or our respective affiliates. You will have no authority to make or accept any offers or representations on our or our affiliates' behalf. You will not make any statement, whether on your Site or otherwise, that contradicts or may contradict anything in this Section 10. If you authorize, assist, encourage, or facilitate another person or entity to take any action related to the subject matter of this participation Agreement, you will be deemed to have taken the action yourself.
11. Limitation of Liability
PROJECT WORLD IMPACT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING ANY LOSS OF REVENUE, PROFITS, GOODWILL, USE, OR DATA) ARISING IN CONNECTION WITH THIS PARTICIPATION AGREEMENT, THE PROGRAM, OPERATIONAL DOCUMENTATION, PROJECTWORLDIMPACT.COM SITE, OR THE SERVICE OFFERINGS (DEFINED BELOW), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. FURTHER, THE AGGREGATE LIABILITY FOR PROJECT WORLD IMPACT ARISING IN CONNECTION WITH THIS PARTICIPATION AGREEMENT, THE PROGRAM, PROJECTWORLDIMPACT.COM SITE, AND THE SERVICE OFFERINGS WILL NOT EXCEED $100.
THE PROGRAM, THE PROJECTWORLDIMPACT.COM SITE, ANY PRODUCTS OR SERVICES OFFERED ON THE PROJECTWORLDIMPACT.COM SITE, AND ALL TECHNOLOGY, SOFTWARE, FUNCTIONS, MATERIALS, DATA, IMAGES, TEXT, AND OTHER INFORMATION AND CONTENT PROVIDED OR USED BY OR ON BEHALF OF US IN CONNECTION WITH THE PROGRAM (COLLECTIVELY THE "SERVICE OFFERINGS") ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT MAKE ANY REPRESENTATION OR WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE WITH
RESPECT TO THE SERVICE OFFERINGS. EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES WITH RESPECT TO THE SERVICE OFFERINGS, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING, PERFORMANCE, OR TRADE USAGE. WE MAY DISCONTINUE ANY SERVICE OFFERING, OR MAY CHANGE THE NATURE, FEATURES, FUNCTIONS, SCOPE, OR OPERATION OF ANY SERVICE OFFERING, AT ANY TIME. WE DO NOT WARRANT THAT THE SERVICE OFFERINGS WILL CONTINUE TO BE PROVIDED, WILL FUNCTION AS DESCRIBED, CONSISTENTLY OR IN ANY PARTICULAR MANNER, OR WILL BE UNINTERRUPTED, ACCURATE, ERROR FREE, OR FREE OF HARMFUL COMPONENTS. WE WILL NOT BE RESPONSIBLE FOR (A) ANY ERRORS, INACCURACIES, OR SERVICE INTERRUPTIONS, INCLUDING POWER OUTAGES OR SYSTEM FAILURES; OR (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF, OR DELETION, DESTRUCTION, DAMAGE, OR LOSS OF, YOUR SITE OR ANY DATA, IMAGES, TEXT, OR OTHER INFORMATION OR CONTENT. NO ADVICE OR INFORMATION OBTAINED BY YOU FROM US OR FROM ANY OTHER PERSON OR ENTITY OR THROUGH THE PROGRAM, CONTENT, OPERATIONAL DOCUMENTATION, OR THE PWI FUND SITE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS PARTICIPATION AGREEMENT. FURTHER, WE WILL NOT BE RESPONSIBLE FOR ANY COMPENSATION, REIMBURSEMENT, OR DAMAGES ARISING IN CONNECTION WITH (X) ANY LOSS OF PROSPECTIVE PROFITS OR REVENUE, ANTICIPATED SALES, GOODWILL, OR OTHER BENEFITS, (Y) ANY INVESTMENTS, EXPENDITURES, OR COMMITMENTS BY YOU IN CONNECTION WITH THIS PARTICIPATION AGREEMENT OR YOUR PARTICIPATION IN THE PROGRAM, OR (Z) ANY TERMINATION OR SUSPENSION OF THIS PARTICIPATION AGREEMENT OR YOUR PARTICIPATION IN THE PROGRAM.
Any dispute relating in any way to the Program or this Participation Agreement will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law and the laws of the state of Illinois, without regard to principles of conflict of laws, will govern this Participation Agreement and any dispute of any sort that might arise between you and us.
There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of this Participation Agreement as a court would.
To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your
claim to our registered agent, Wagenmaker & Oberly, LLC. The arbitration will be conducted by the American Arbitration Association ("AAA") under its rules, including the AAA's Supplementary Procedures for Consumer-Related Disputes. The AAA's rules are available at www.adr.org or by calling 1-800-778-7879. Payment of all filing, administration and arbitrator fees will be governed by the AAA's rules. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in DuPage County, IL or at another mutually agreed location.
We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights. Notwithstanding anything to the contrary in this Participation Agreement, we may seek injunctive or other relief for any actual or alleged infringement of our or any other person or entity's intellectual property or proprietary rights. You further acknowledge and agree that our rights in the Content are of a special, unique, extraordinary character, giving them peculiar value, the loss of which cannot be readily estimated or adequately compensated for in monetary damages.
By accepting this Participation Agreement you hereby consent to us sending your organization occasional emails relating to the Program. You may not assign this Participation Agreement, by operation of law or otherwise, without our express prior written approval. Subject to that restriction, this Participation Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Participation Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Participation Agreement. We may from time to time in our sole discretion make Distributions that exceed or supplement those strictly required under this Participation Agreement, but in no event will such actions create any right to receive excessive or supplemental Distributions at any later time or under similar circumstances. In the event of any conflict between this Participation Agreement and the Operational Documentation, the Participation Agreement will control over the Operational Documentation. This Participation Agreement incorporates, and you agree to comply with, the most up-to-date version of all Operational Documentation, including any updates of the Operational Documentation from time to time. Whenever used in this Participation Agreement, the terms "include(s)," "including," and "for example" mean, respectively, "include(s), without limitation," "including, without limitation," and "for example, without limitation." Any determinations or updates that may be made by us, any actions that may be taken by us, and any approvals that may be given by us under this Participation Agreement, may be made, taken, or given in our sole discretion. All non-public information provided by us in connection with this Participation Agreement or the Program is considered confidential information, and you will maintain the same in strict confidence and not disclose the same to any third party (other than your affiliates) or use the same for any purpose other than your performance under this Participation Agreement, which restriction will be in addition to the terms of any confidentiality or non-disclosure agreement between the parties. This Participation Agreement (including the Operational Documentation) is the entire agreement between you and us regarding the Program and supersedes all prior agreements and discussions.
PWI Fund Participation Agreement #2

These PWI Fund Program Policies (these “Policies”) are part of the Operational Documentation incorporated into Participation Agreement #1 that governs your participation in the Program, and capitalized terms used in these Policies and not otherwise defined here will have the definitions provided there. These Policies describe requirements and restrictions applicable to you as a Program participant. We reserve the right to modify these Policies at any time and in our sole discretion as set forth in Section 9 of this Participation Agreement.
A. Advertising PWI Fund
1. You may not promote PWI Fund in a way that is misleading or confusing to customers or that does not accurately represent PWI Fund or the Program (for example, by expressing or implying that we have entered into a partnership with you, that we sponsor or endorse you or any other cause or that we support your position on any issue).
B. Interaction with PWI Fund and Customers
1. You will not request, collect, obtain, store, cache, or otherwise use any account information used by customers in connection with PWI Fund (including any usernames or passwords of PWI Fund customers).
2. You will not take any action that could reasonably cause any customer confusion as to our relationship with you, or as to the site on which any functions or transactions (for example, search, browse, or order) are occurring.
3. For customers who buy products through using the PWI Fund Extension, you acknowledge and agree that you are not entitled to receive any customer information. Orders for Products placed by customers using the PWI Fund Extension may be rejected for any reason and rejected orders will not be eligible for Distributions.
4. You will not handle or address any contacts customers who use the PWI Fund Extension, and, if contacted by any of customers for a matter relating to interaction with PWI Fund, you will state that those customers must follow contact directions on the projectworldimpact.com site to address customer service issues.
C. Unacceptable Practices
1. You will not include on your Site, display, or otherwise use Links or Content in connection with any
spyware, malware, virus, worm, Trojan horse, or other malicious or harmful code, or any software
application not expressly and knowingly authorized by users prior to being downloaded or installed
on their computer or other electronic device.
2. You will not use Content or Links on, or link to PWI Fund from, any application (for example, a software component, toolbar, or plug-in), or use any such application to artificially increase Qualifying Purchases in respect of your charitable organization.
3. You will not frame the projectworldimpact.com site or PWI Fund, or any part of it, within your Site. However, displaying a Link on your Site in accordance with the Participation Agreement will not be considered framing projectworldimpact.com or PWI Fund. You may promote your Program participation and Link through social media and email as described in Section A above.
4. You will not cloak, hide, spoof, or otherwise obscure the URL of your website containing Links (including by use of a redirecting page) such that we cannot reasonably determine the website from which a customer clicks through such Link to PWI Fund.
From time to time, we may request information from you in order to verify your compliance with the Participation Agreement or any Operational Documentation, including whether you meet, or continue to meet, the definition of an Eligible Organization. You agree to cooperate with us and promptly satisfy such requests. Upon our request, you will provide us with written certification, in substantially the form requested by PWI, that you have complied with the Participation Agreement, including all Operational Documentation. In addition, you consent to us monitoring your Portal and Site to verify your compliance with the Participation Agreement, and you will provide copies of Content on offline versions of your Site upon request. You also consent to us monitoring and using information about our customers in connection with their use of the Links and PWI Fund.
PWI Fund Participation Agreement #3

These Program Content Guidelines ("Guidelines") are part of the Operational Documentation incorporated into Participation Agreement #1 that governs your participation in the Program. The Guidelines apply to your use of our trademarks and logos that we may make available to you from time to time. "You" means the person or entity using a PWI Mark. Strict compliance with these Guidelines is required at all times, and any use of a PWI Mark in violation of these Guidelines will automatically terminate any license related to your use of the PWI Marks. You agree that we have the right to monitor the quality of your use or display of any PWI Marks and you will facilitate such monitoring as necessary. We reserve the right to modify these Guidelines or the PWI Marks at any time and in our sole discretion as set forth in Section 9 of this Participation Agreement.
1. Limited License
a. License to you: Subject to the terms of the Participation Agreement and solely for the limited purposes of advertising, and directing end users to, PWI Fund in connection with the Program, we hereby grant you a limited, revocable, non-transferable, non-sublicensable, nonexclusive, royalty-free license to copy and display the PWI Fund Content solely on your Site in accordance with the Participation Agreement, including these
Guidelines and other Operational Documentation.
b. License from you: Solely for the limited purposes of promoting and operating PWI Fund, you hereby grant PWI a limited, revocable, non-transferable, non-sublicensable, non-exclusive, royalty-free license to copy, display and use your trademarks and logos ("Your Marks").
c. The licenses set forth in this Section 1 will immediately and automatically terminate upon your notification to us that you no longer want to participate in the Program, or otherwise upon termination of the Participation Agreement.
2. Reservation of Rights; Submissions
Other than the limited licenses expressly set forth in Section 1, we reserve all right, title, and interest (including all intellectual property and proprietary rights) in and to, and you do not, by virtue of the Participation Agreement or otherwise, acquire any ownership interest or rights in or to, the Program, Links, link formats, Content, any domain name owned or operated by PWI, Operational Documentation, and any other intellectual property and technology that we provide or use in connection with the Program.
3. Trademark Usage Guidelines
a. YOU ARE ALLOWED TO USE THE PWI MARKS ONLY BY DISPLAY ON YOUR SITE WITH THE PURPOSE TO ADVERTISE PWI FUND, WITH A CORRESPONDING LINK TO THE PROJECTWORLDIMPACT.COM.
b. Your use of the PWI Marks must (i) comply with the most up-to-date version of these Guidelines; and (ii) comply with any other terms, conditions, requirements, and policies that we may issue from time to time that apply to the use of the PWI Marks, including the most up-to date version of the Participation Agreement (including the Operational Documentation) (collectively, "Agreements").
c. You cannot use or display any PWI Mark for any purpose or in any manner not specifically authorized under the Agreements. For example, you cannot make any use or display (i) that implies sponsorship or endorsement by us; (ii) to disparage us, our products, or our services; or (iii) that may, as determined by us, diminish or otherwise damage our goodwill in any PWI Mark.
d. You may display a PWI Mark only in the exact format in which we provide it to you. You may not alter or modify any PWI Mark in any manner. For example, you cannot change the proportion, color, or font of any PWI Mark, or add or remove any elements from any PWI Mark.
e. Each PWI Mark must appear by itself, in its entirety, with a minimum of 50px of spacing between each side of the PWI Mark and other visual, graphic, or textual elements. Under no circumstance can any PWI Mark be placed on any background that interferes with the readability or display of that PWI Mark.
f. Together with each piece of content on your Site that includes any PWI Marks, you must prominently include a statement stating that PWI and the PWI logo and PWI Fund and the PWI Fund logo are trademarks of Project World Impact, LLC. For example, if your Site displays the PWI Fund logo, you would include the following statement on the same Site component: “PWI Fund and the PWI Fund logo are trademarks of Project World Impact, LLC.”
g. All rights in and to the PWI Marks are our exclusive property, and any goodwill generated by your use of any PWI Mark will inure to our exclusive benefit. You will not take any action that is in conflict with our rights in or ownership of any PWI Mark.
h. You cannot display or otherwise use any trademark or logo of any third party seller on PWI Fund in connection with any Link unless you have obtained from that seller specific written authorization to do so.
i. You cannot use any trademark of PWI (whether or not it’s an PWI Mark), or a variant or misspelling of such a trademark.
We reserve the right to take appropriate action against any use without permission or any use that does
not conform to these Guidelines, at any time and in our sole discretion.
