Introduction:
PWI Auction is an online auction platform that allows Registered Nonprofit Users ("Users") to conduct auctions, including traditional bidding and raffles, to raise funds for their organizations. These Terms and Conditions apply specifically to the PWI Auction product. By using PWI Auction, you agree to these terms.
1. General Provisions:
- Registered Nonprofit Users: Users must be registered nonprofits with Project World Impact (PWI) to utilize PWI Auction.
- Subscription: Use of PWI Auction is subject to the User's existing PWI subscription agreement.
- Changes to Terms: PWI reserves the right to modify these Terms and Conditions at any time. Users will be notified of significant changes, and continued use of PWI Auction constitutes acceptance of the revised terms.
2. Auction Functionality:
- Platform Use: PWI Auction provides a platform for Users to create and manage online auctions, including item listings, bidding, and payment processing.
- User Responsibility: Users are solely responsible for:
- Accurate and complete item descriptions.
- Setting appropriate auction parameters (start/end dates, minimum bids, etc.).
- Fulfilling auction item delivery or service obligations to winning bidders.
- Collecting any applicable sales tax.
- Payment Processing:
- PWI utilizes third-party payment processors.
- Standard credit card processing fees will apply.
- All payments made through the platform are non-refundable.
- PWI does not receive any percentage of the funds that are raised.
- Item Validity: PWI is not responsible for the validity, authenticity, or condition of auction items.
- Bidding Disputes: Users are responsible for resolving any bidding disputes that may arise. PWI may provide assistance but is not obligated to intervene.
3. Raffle Specific Terms:
- Legal Compliance:
- Users are solely responsible for ensuring their raffles comply with all applicable local, state, and federal laws and regulations.
- Raffle laws vary significantly by jurisdiction. Users must research and understand the specific requirements in their operating location.
- PWI provides the platform, but the user is responsible for legality.
- Users are responsible for registering their raffles if required by their local or state laws.
- Raffle Rules:
- Users must clearly define and publish the rules of their raffles, including:
- Eligibility requirements.
- Ticket pricing and purchase methods.
- Drawing dates and procedures.
- Prize descriptions and values.
- Any restrictions or limitations.
- Users must keep accurate records of raffle ticket sales and drawings.

- Prize Delivery: Users are responsible for delivering raffle prizes to the winners in a timely manner.
- Raffle Validity: PWI is not responsible for the legality or validity of any raffle conducted through the platform.
4. User Content:
- License Grant: Users grant Project World Impact and the nonprofit beneficiary a perpetual, non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, publicly display, publicly perform, store, reproduce, modify, create derivative works, and distribute User Content (including, but not limited to, text, images, videos, and audio recordings) submitted by any Campaign Owner or Contributor on or in connection with PWI Products and Services and our related marketing and promotional activities.
- Content Accuracy: Users warrant that all User Content is accurate, truthful, and does not infringe on the rights of any third party.
5. Limitation of Liability:
- PWI shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of PWI Auction.
- PWI is not responsible for any losses or damages resulting from:
- User errors or omissions.
- Technical malfunctions or disruptions.
- Fraudulent activity by third parties.
- The illegality of a users raffle.
- Indemnification: Users agree to indemnify and hold PWI harmless from any claims, losses, or damages arising from their use of PWI Auction.
6. Privacy Policy:
- PWI collects and uses User data in accordance with its Privacy Policy, which is incorporated by reference into these Terms and Conditions.
7. Governing Law:
- These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Illinois or the state you are holding the event in.
